Terms & Conditions
Effective Date: 01/01/2025
1.All Channel Partner(s) will be allotted a unique code, which is required to be mentioned by all Channel Partner(s) in all correspondence with the Company.
2.Channel Partner(s) is entitled for Referral Fees as detailed here under. Sale Consideration refers to “basic value of the apartment/villa” only.
Channel Partner referral fees on Sales done Per Month
1-3 Sales Per Month: 2.0 % on Basic Value of the Unit
4-5 Sales Per Month: 2.25 % on Basic Value of the Unit
6-8 Sales Per Month: 2.5 % on Basic Value of the Unit
9 Sales & Above Per Month: 3.0 % on Basic Value of the Unit
3.Channel Partner(s) is entitled for said Referral Fees, on receipt of 20%(twenty percent) booking amount from the Client and signing of the Agree ment of Sale, the Channel Partner shall receive 50% of the committed incentive, and the remaining 50% shall be released upon registration of the plot/villa. Client In case of any cancellation done by the Clients because of any undesirable action of Channel Partner(s), then such Channel Partner(s) shall be liable to compensate the Company for the loss incurred by such cancellation.
4.Referral Fee will be paid in the form of Cheque/DD/Bankers Cheque, drawn in the name of the registered Channel Partner, subject to all applicable taxes. Apart from the Referral Fee, no other payments to Channel Partner(s) will be entertained by the Company.
5.Referral Fee will be payable to the “Channel Partner” by the Company, upon producing the copy of Enquiry Form signed by the concerned Sales Executives of the “Company” along with the invoice. The said invoice along with the supporting Enquiry Form shall be submitted during the last week of every month and the payment shall be released after verification of all the relevant documents including confirmation regarding receipt of booking amount from the Client.
6.Channel Partner(s) are required to meet the targets for sale, set by the Company within the stipulated time and in case of Channel Partner(s) do not meet the set targets, the Company is entitled to cancel the appointment/Registration of Channel Partner(s).
7.Channel partner should take the prior approval from SRI HARI HOMES before he promotes/lists the project in any of the portals. In the event of being permitted, the channel partner has to get the creative/communication approved by
SRI HARI HOMES & TOWNSHIPS, before posting the same”.
8.The relationship between the Company and the Channel Partner is strictly that of independent contracting parties dealing at arm’s length. Nothing contained in this Agreement shall be deemed to constitute or create any partnership, joint venture, agency, franchise, employment, fiduciary, or other similar relationship between the parties.
10.The Channel Partner shall not use the Company’s name, brand name, logo, trademarks, trade names, service marks, or any other intellectual property of the Company, nor issue any advertisements, press releases, public statements, promotional materials, or communications in the name of or referring to the Company, without the Company’s prior written consent in each instance.
11.Any unauthorized use shall constitute a material breach of this Agreement and shall entitle the Company to immediate injunctive relief, without prejudice to any other rights or remedies available under law or equity.
12.The office premises of the “Company” shall not be utilized by the “Channel Partner” or their personnel for any kind of discussions or sales with the Client and shall be utilized only for a limited purpose of introducing the Client to the “Company”.
13.“Channel Partner” shall indemnify and keep us indemnified against any loss suffered directly or indirectly by the “Company” or any damage, fiduciary liability created on the “Company” on account of any misrepresentation, acts or deeds done by the “Channel Partner”.
This arrangement authorizes “Channel Partner” to only refer the prospect to the “Company” & assist successful closing the sale. “Channel Partner” is not Authorized to accept/collect any payments on behalf of the “Company” from any Client against the sale of apartments of the Company.
14.“Channel Partner” must maintain quality infrastructure and trained staff to handle the Company’s sale, in order to maintain the international repute, High Standard Client care, transparency and very high business ethics followed by the Company.
15.The right of appointment as “Channel Partner” is not transferable.
16.In the event of any disputes arising out of this understanding, the Channel Partner shall agree and abide by the Company’s stand.
17.Company reserves the right to terminate the appointment of Channel Partner(s), without assigning any reason thereof and reserves the right to take legal action in case of breach of this terms & conditions.
18.Company has full right to amend the terms and conditions at any time without any prior notice.
19.If any term or provision of this appointment is declared illegal or unenforceable by any court of competent jurisdiction and cannot be modified to be enforceable, such term or provision shall immediately become null and void, leaving the remainder of this contract in full force and effect.
20.The “Company” agrees:
21.To extend all support by the way of participating in all promotional and marketing activities undertaken by the “Channel Partner” in selling the properties within the specific time frame and within the specified market segment as agreed upon.
a).To provide the “Channel Partner” with all necessary media and promotional material that is required from time to time and will conduct training /orientation programs.
b).To produce a copy of Enquiry Form signed by Sales Executives of the “Company” along with the invoice. The said invoice along with the supporting Enquiry Form shall be submitted during the last week of every month and the payment shall be released after verification of the same.
c).Not to divulge any competitive and /or strategic information related to “Channel Partner” to any other parties.
d).To pass on the credit of any such sale which is concluded by the “Company” directly or indirectly for whatsoever reason, where the initiation of such sale is documented by the “Channel Partner”.
22.The “Channel Partner” agrees:
a.To provide complete details of its entity, whether individual, partnership firm, or company, along with all documentary evidence like identity proof, address proof, photograph (in case of individual), telephone number and email id along with its bank account details to the Company. Any false information may result in cancellation of membership at any time.
b).To educate all potential investors by alerting them and showcasing the properties of the “Company” from time to time projecting them in such a way so as to protect their brand image and also enabling them to strengthen their market image.
c).That a lead introduced and registered by the Channel Partner shall remain exclusively allocated to the Channel Partner for forty-five (45) days from the date of registration. The Channel Partner must close and activate the Lead within this period. If the Lead is not activated or remains inactive within forty-five (45) days, it shall automatically lapse and will no longer be considered the Channel Partner’s Lead. The Company may thereafter accept, pursue, or close the same Lead directly, through another Channel Partner, or through any marketing platform, without any obligation to the original Channel Partner.
d).That, the validity period may be extended only if the Lead is demonstrably in progress and such extension is approved in writing by the Company’s Team Head before expiry of the initial 45-day period.
e).That all leads must be registered by the Channel Partner in the Company’s prescribed manner and are valid only upon written or system confirmation by the Company. A Lead is attributable to the Channel Partner only if it is not already in the Company’s database, not previously pursued by the Company, and the information provided is complete and accurate.
f).That, in case of duplicate submissions, the Lead will be credited to the party who first registered it as per the Company’s records, whose decision shall be final. The Channel Partner will have no claim for commission on duplicate or pre- existing Leads. Any dispute must be raised in writing within seven (7) days of notification, failing which the Company’s decision will be final.
g).To sell the properties within the specified time frame and within the specified market segment as agreed upon.
To deploy their best resources in promoting and marketing the properties.
h).To attend all training / orientation programs conducted by the Company.
i).To regularly interact with the Clients and pass their feedback to the Company and to intimate to the “Company “in time intention if any of the Client to cancel the bookings so as to ensure that the “Company” would not be subjected to any loss/ cost arising out of such cancellation.
j).Not to entertain and/or engage any of the “Company’s “employees for unlawful and unethical gains. However, the services of any such employees would be requested for through the proper channel of the Company.
k).Not to misuse, illegal use and/or against our privacy policy, our brand name, material, data or any other information pertaining to our clients directly/indirectly. Company is free to take any legal action against you in any such instances or in case of any fraud. Any legal action in this regard or dispute(s) concerning this agreement; intends to be subject to the jurisdiction instituted in a court of Hyderabad, Andhra Pradesh.
l).Not to divulge any competitive and /or strategic information related to “Company” to any outside
m).Not to misuse, illegal use and/or against our privacy policy, our brand name, material, data or any other information pertaining to our clients directly/indirectly. Company is free to take any legal action against you in any such instances or in case of any fraud. Any legal action in this regard or dispute(s) concerning this agreement; intends to be subject to the jurisdiction instituted in a court of Hyderabad, Andhra Pradesh.
Parties:
n)To provide at least 30 days’ notice in writing to the Company for surrendering the appointment of Channel Partner(s)
o).After termination of contract, Channel Partners you will not use our brand name, our customers, our channel and any other entity or information whatsoever which belongs to the company.
p).After termination of contract, you are obliged of not establishing any business relationship with our customers or potential customers for a period of eighteen months.
